Terms of Use

Last Updated: June 3, 2026. Review the 14 core legal sections governing the MARTNOID autonomous retail network, hardware integrations, broker workflows, and operating license agreements.

1. Acceptance and Scope

By accessing this website, registering on our Partner Workspace, submitting property files, or using our automated gantry convenience terminals, you agree to be bound by these Terms of Use, all applicable municipal zoning ordinances, and state property regulations. This agreement constitutes a legally binding contract between you and MARTNOID Inc. governing all interactions with our online tools and physical retail units.

2. Eligibility & Age Restrictions

You must be at least 18 years of age (or the age of majority in your jurisdiction) to establish an account, submit property coordinates, or operate any licensing node in the Martnoid network. By creating a partner account, you represent and warrant that you possess the full legal right, power, and capacity to enter into this agreement and comply with all its obligations.

3. Security & Access Credentials

You are responsible for maintaining the confidentiality of any access tokens, passwords, and API keys allocated to you (including Bagel POS terminal setups and Bizipy Sync synchronization parameters). Any actions performed under your credentials will be deemed your authorized actions. You must immediately notify support@martnoid.com of any unauthorized use or security breaches.

4. Interaction with Autonomous Kiosk Robotics

MARTNOID autonomous micro-stores and modernized retail retrofit spaces contain highly complex mechanical components, including:

  • Dual-picking robotic gantry arms operating behind Level 3 armored glass partitions.
  • Pneumatic pick-to-drawer dispensing mechanisms.
  • High-voltage electrical circuits, emergency backup batteries, and fiber-optic communication feeds.

Strict Prohibition: Customers and visitors are strictly prohibited from touching, bypassing, altering, or interfering with any protective glass panels, dispenser slots, sensors, or rear-access gantry mechanics. Any attempt to compromise physical safety gates will trigger automatic lockouts, police dispatch, and instant permanent ban from the Bagel POS network.

5. GIS Submissions & Broker Regulations

Registered real estate brokers who submit coordinates, vacant plot files, zoning clearances, or GPS coordinates to the Broker Portal represent that they hold exclusive authorization or direct listing agreements from the property owner. You acknowledge that Martnoid acquisitions teams execute independent environmental audits (e.g. soil composition, environmental hazard clearances, fuel tank history for gas station retrofits). Broker commissions are paid exclusively upon successful property transfer (purchase or executed lease) subject to the specific Broker Compensation Agreement signed during registration.

6. Operator Licensing Grid

Licensed operators who manage a Martnoid location are bound by the Master Operational Agreement and our real-time POS compliance standards. Operating licenses grant non-exclusive access to utilize the Martnoid hardware, telemetry dashboards, and the automated inventory restock system. Operators must maintain the physical tidiness of the exterior and EV charging spaces, while all core mechanical repairs of the gantry picker system remain the exclusive domain of certified Martnoid technicians.

7. Supplier APIs & Inventory Synchronization

Suppliers partnering with Martnoid must maintain active API endpoints with accurate wholesale pricing, product metadata, and inventory volumes. You agree to adhere to agreed-upon dispatch windows and fulfillment SLAs. Martnoid reserves the right to automatically adjust routing priority if supplier API uptime falls below 99.9% or if stockout discrepancies occur.

8. Telemetry & Bagel POS Grid Split Fees

All retail transactions processed at the kiosk terminals flow through the Bagel POS grid framework. Split fees, licensing charges, and payment gateway percentages are deducted in real-time according to your node operator schedule. Martnoid reserves the right to change terminal splits upon 30 days written notice.

9. Patent & Technology Licenses

The design schema, wood-slat aesthetic branding, pick-to-drawer dispensing systems, gantry trajectory algorithms, localized dashboard software, Bagel POS grid configurations, and all logos are the sole intellectual property of MARTNOID Inc. and our hardware technology partners. No license is granted to reverse engineer, duplicate, or copy the mechanical or electronic framework of our autonomous kiosks.

10. Prohibited Conduct & Reverse-Engineering

You agree not to perform security scans, vulnerability assessments, penetration tests, or reverse compilation of Martnoid terminal telemetry. You shall not inject malicious scripts, attempt SQL injection on Bagel POS servers, or use high-frequency scraping scripts against the GIS Broker Coordinates Database.

11. Uptime, Outages & Maintenance SLA

MARTNOID autonomous systems are provided on an "as-is" and "as-available" basis. We do not guarantee uninterrupted runtime of kiosks, POS connectivity, or real-time cloud synchronization. In no event shall MARTNOID Inc., its founders, or technology suppliers be held liable for operational losses, delayed wholesale supply deliveries, or incidental damages arising from gantry mechanical downtime.

12. Indemnification

You agree to defend, indemnify, and hold harmless MARTNOID Inc., its affiliates, officers, directors, employees, and POS integration partners from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney fees, arising out of your misuse of the portals, physical kiosk vandalism, or violation of local zoning disclosures.

13. Binding Arbitration & Class Action Waiver

Any legal dispute, claim, or controversy arising out of these Terms or use of Martnoid platforms shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. You waive any right to participate in class-action lawsuits or class-wide arbitration.

14. Governing Law and Severability

These Terms of Use and all relations between Martnoid and its partners are governed by and construed in accordance with the laws of the State of Delaware, without giving effect to conflict of laws principles. If any provision of these Terms is found invalid or unenforceable, that provision shall be limited to the minimum extent necessary, and the remaining provisions shall remain in full force.
